The four practices:
Fund formation. We have more than two decades of experience in the hedge fund and alternative investment fund industry. We can act as lead counsel or assist with the establishment of U.S. feeder funds, as well as Registered Investment Adviser registration and related regulatory matters. Our experience includes corporate funds, limited partnerships, general partners, investment managers and advisory relationships. We also advise on offering documents, side letters, investor terms and disputes, and the broader securities law matters that arise throughout the life cycle of an alternative investment fund. International fund structuring is part of the funds practice.
Receiverships. We have significant experience in court-appointed receiverships, including acting as receiver in a substantial and complex matter involving multiple assets, including television stations, through to a successful conclusion and ultimate disposition of the assets. Our experience includes both court-appointed receiver roles and acting as counsel in receivership matters. Anthony Murray served as a New York court-appointed receiver from 2014 to 2016.
Commercial litigation. We represent individuals and businesses in civil and commercial disputes, with a particular emphasis on debt recovery and the enforcement of contractual obligations. Our work includes the collection of unpaid invoices, claims arising from breached payment terms, and the recovery of outstanding sums owed. From the preparation of pleadings and strategic motion practice through to judgment enforcement, we utilize all available courts and procedural mechanisms to secure effective results and protect our clients’ commercial interests. Collections for individuals and companies are part of this desk.
Corporate. We advise clients on the full lifecycle of business entities, from formation through restructuring and dissolution. Our corporate practice covers the establishment of corporations, limited liability companies (LLCs), and other entities; the drafting and negotiation of mergers, acquisitions, and joint-venture agreements; the preparation of constitutional and governing documents such as articles of incorporation, operating agreements, and bylaws; and the orderly winding-up or dissolution of companies. We handle the full range of documentation and procedures required to create, restructure, or terminate corporate entities, ensuring compliance with applicable law and alignment with our clients’ commercial objectives.
